Terms of Use
By accessing and/or using our FactoryXChange platform, services, and/or events, you agree to these terms (Terms of Use). You should review these Terms of Use carefully. This information may change from time to time, so we recommend that you check back often. If you do not agree to these Terms of Use, you should cease contributing to and or using the FactoryXChange platform, services, and/or events immediately.

In these Terms of Use, reference to “we,” “us,” or “our” means ‘FactoryXChange’ and our consortium partners, coordinated by Irish Manufacturing Research, also serving as the legal representative body for FactoryXChange.
​
Any failure of FactoryXChange to enforce any of these Terms of Use shall not impact on our right to require performance by you later, nor shall the waiver by us of any breach of the Terms of Use be taken as a waiver of the clause or clauses itself.

1. The FactoryXChange consortium of partners
The FactoryXChange consortium of partners consists of private and public Irish entities equipped to provide access to a truly one-stop-shop experience to customers from every region of Ireland via the FactoryXChange platform.
​
FactoryXChange services integrate the world-class technical expertise of the National Centre for High End Computing (ICHEC) and the National Centre for Data Analytics (INSIGHT) to deliver state-of-the-art solutions. This offering is further enhanced by the advanced capabilities of Irish Manufacturing Research (IMR), Technological University of Shannon (TUS), Data Value Hub (DVH), Creative Spark (CS), and KPMG Future Analytics (KPMG FA). Together, these partners provide comprehensive services to enterprises and public organisations, supporting digital transformation in manufacturing.
2. Registering on the FactoryXChange platform
You must be a registered member to book a FactoryXChange service or register to participate in FactoryXChange events. To register and activate your account, you will be required to provide us with personal data such as:

Last Name;

Company Name or Organisation Name;

Company Registration Office Number, or PPSN, or N/A (for Public Organisation); and
-
Email Address.

It is your responsibility to ensure that this data is both accurate and up to date. All personal data we collect will be handled in accordance with our Privacy Policy (see Section 2). When you register on the FactoryXChange platform you will be prompted to create a password. You are responsible for keeping your password secure and are responsible for all use and activity carried out under this account. For this reason, we recommend that you do not let anyone else have access to your account. Registrations from individuals under 18 are prohibited, in compliance with GDPR Article 8 on age of consent. Users must certify they are 18+ during account creation.

3. Browsing a service on the FactoryXChange platform
You do not need to be a registered member to view the available pages, services, or events listed on the FactoryXChange platform. As such, we will not collect any personal information until such a time as you proceed to book a service or register to participate in an event, in which case you will be redirected to registration on the FactoryXChange platform (see Registration on the FactoryXChange platform).
4. Booking a service on the FactoryXChange platform
You must be registered on the FactoryXChange platform to book a service. When booking a service, you agree that:

You are responsible for reading the description of the FactoryXChange service and these Terms and Conditions before booking a service; and
-
You enter a legally binding contract with the FactoryXChange platform (legal representative is Irish Manufacturing Research) when you commit to book a service and you complete the check-out process.
​
Before completing the service, the FactoryXChange service provider has the option to offer a refund to the service user and terminate the contract with the expressed consent of the FactoryXChange platform.
​
5. Discount Limits and Exception Process for FactoryXChange Services
Services on FactoryXChange are offered at a discounted rate, funded by the European Union’s Digital Europe Programme (grant agreement 101079817) and the Recovery and Resilience Fund (RRF) managed by Enterprise Ireland (contract ED20220002).
To maximise access for enterprises and public organisations, a discount cap of €60,000 per entity applies for the lifetime of the programme. If this allocation is exceeded, a refund will be issued after booking.
Requests to exceed the cap due to exceptional circumstances will be considered on a case-by-case basis by the FactoryXChange Operations Forum, with justification required and decisions communicated to all relevant parties. Justifications must demonstrate additional impact in line with the programme’s Specific Objectives and Key Performance Indicators and will not be considered for partners within 20% of their grant passthrough target. Supporting documents are available for review by the service provider organisation in advance of any request.

6. Prices of the service on the FactoryXChange platform
All FactoryXChange services are listed with their market price. This price has been carefully agreed based on extensive market research by the FactoryXChange service provider at the time of listing the service. The governance related to the listed market price is overseen by the FactoryXChange platform and Service Portfolio Managers.
​
The FactoryXChange reserves the right to change the market price related to a FactoryXChange service displayed at any time, and to correct pricing errors that may inadvertently occur.
7. Eligibility and Discount Terms for FactoryXChange Services
Most services on the FactoryXChange platform are currently offered at a discount to eligible customers, with funding provided by the European Union’s Digital Europe Programme (grant agreement 101079817) and Ireland’s Recovery and Resilience Fund (RRF, contract ED20220002). Discounted services are clearly identified on the platform.
Eligibility:

Enterprises (under 3,000 staff):
-
The discounts on services are funded 50% by the European Union and 50% by the Irish Government.
-
When booking a service, 50% of the discount is counted towards your state aid total. The remaining 50% of the discount is funded by the EU and not subject to State Aid.
-
In the absence of a National State Aid Register you will be asked to complete a State Aid Self Declaration Form; you can choose to access your State Aid under the De Minimis Regulation or GBER with your data shared with Enterprise Ireland for grant management. For queries on your remaining De Minimis State Aid balance, contact EDIH@enterprise-ireland.com.

If you chose to use your enterprises “De Minimis” state aid allocation please note it is capped at €300,000 over three years per enterprise, regardless of size or location.

Public Organisations:
-
The discounts on services are funded 50% by the European Union and 50% by the Irish Government.
-
Public organisations are not subject to State Aid rules; the discounts on services are fully funded, you will however be asked to complete a form to confirm the service booking.
-

Open-Access Events and Customer Support from a Digital Strategist:
​
-
Open-access events and digital strategist support sessions are always discounted and do not require completion of forms by a service user.
-
There is no restriction on the number of open access events or 30-minute customer support sessions with Digital Strategists that can be booked by a service user.
Please note that the discounts are subject to change. 8. Types of service users on FactoryXChange
It is intended that 80% of the services users of FactoryXChange will be Enterprises and 20% will be Public Organisations.
​
“Enterprise” service users mean those entities which are engaged in economic activities and have an available “De Minimis” State Aid balance to book FactoryXChange service shall include:

Micro/Startup enterprise (definition used by FactoryXChange and up to 9 employees);
-
Small and medium-sized enterprise (definition used by FactoryXChange and between 10 to 250 employees); and
-
Mid-Cap (definition used by FactoryXChange and between 250 to 3000 employees).
Please note: Examples of suitable customers include but are not limited to manufacturing industry, solution providers for industry, industry from across the supply chain, including sole traders.

“Public Organisation” or “Public Service Organisation Users” or “Public Sector Organisation” service users means those public bodies which are not engaged in economic activity and can book FactoryXChange services shall include:
​

Public Schools (i.e. schools where most of the funding comes from the state);
-
Public Hospitals which receive most of their funding from the state; and
-
Public Bodies providing services without charge to the public, and shall include Public Authorities (PA) defined as:
-
any government or other public administration, including public advisory bodies, at national, regional, or local level; and
-
any natural or legal person performing public administrative functions.
-
Please note: Examples of suitable customers include but are not limited to secondary schools, vocational education and training bodies, and local government including community groups represented by a public body.

9. Cancellation and No-Show Policies
To ensure fair access and efficient service delivery, FactoryXChange has the following policies:
​
A. Cancellations
-
Please provide at least 2 working days’ notice if you need to cancel a booked service or event.
-
Cancellations must be made via the platform’s designated channels.
-
In exceptional circumstances, contact us as soon as possible; each case will be considered individually.
​
B. No-Shows
-
A "No-Show" is failing to attend a scheduled service or event without prior notice.
-
Repeated no-shows may result in temporary or permanent suspension of booking privileges.
-
FactoryXChange may contact you after a no-show to discuss rescheduling.
​
C. Service Engagement and Responsiveness
-
You must engage with your Service Provider and begin service delivery within 14 days of the order date or last Service Provider contact.
-
If unresponsive, the Service Provider will notify FactoryXChange, who will attempt to contact you twice over 5 business days.
-
If you remain unresponsive for 14 days, the service will be cancelled, and no completion credit issued.
-
To rebook, you must restart the booking process and may be subject to review.

D. Fees
-
Currently, no financial penalties apply for cancellations or no-shows on fully discounted services. This may change, and users will be notified in advance.
-
If a fee has been paid for a service, the service provider may impose a financial penalty in the event of cancellation or no-show. The specific terms and conditions regarding any penalties will be communicated to you by the provider at the time of booking.

FXC may amend these policies at any time. Users will be notified of significant changes.

10. Wind-Down of Discounted Services and Future Plans
As FactoryXChange Phase One concludes on 31 December 2025, discounted services will become unavailable to book on the platform. This is necessary to allow the orderly wind-down of discounted service delivery and to ensure accurate reporting to our funders.
​
Clear guidance will be provided on each service page regarding the availability of bookings. Where discounted services are no longer available through FactoryXChange, you may still be able to access similar discounts directly from service providers via existing Innovation Support Grants managed by Enterprise Ireland and other Irish Government grant authorities. In such cases, you will be directed off-platform to the relevant provider’s website, where their own terms of use will apply.
​
Looking ahead, FactoryXChange Phase Two is planned to launch on 1 January 2026, with the intention to reinstate discounted services for a further three years. Updates on the availability of these services and any changes to booking procedures will be communicated in advance on the FactoryXChange platform.

11. How we may use your personal information
We collect personal data about you to process your FactoryXChange registration on the platform and provide you with FactoryXChange services. We will only use your personal information as set out in our Privacy Policy, accessible at the time of registration, via the contact us page or via the FactoryXChange platform footer. Our Privacy Policy outlines:

What personal data we collect and how we collect it (including cookies);

The legal basis for usage of your personal information;

What we do with your personal data and why we collect it;

When and how we disclose personal data to third parties;

12. Accuracy and Completeness of Information Disclaimer
We also strongly stipulate that we are not liable to you or any other party if interference or damage to your computer or mobile systems occurs in connection with the use of our FactoryXChange services or a linked website. You must take your own precautions to ensure that whatever you select for your use from our FactoryXChange platform, or a linked website, is free of any virus or similar that may interfere with or damage your computer or mobile operating systems. We may, from time to time and without notice, change or add to the FactoryXChange platform (including the Terms and Conditions). We do undertake to keep our FactoryXChange platform updated. We make no representations, warranties or guarantees, whether express or implied, that the content on our FactoryXChange platform or information provided through our FactoryXChange services are accurate, complete, or up to date and are not liable to you or anyone else if errors occur in the information on our FactoryXChange platform or if that information is not up to date.
13. Intellectual Property Rights
Unless indicated otherwise, we own, or license from third parties, all rights, title, and interest (including any copyright, designs, patents, trademarks, and other intellectual property rights) in our FactoryXChange platform and in all the material (including all text, graphics, logos, audio, and software) made available on or through our FactoryXChange platform (Content). Use of the FactoryXChange platform does not grant or transfer any rights, title, or interest to you in relation to the FactoryXChange platform or the Content. We grant you a licence to access the FactoryXChange platform and view the Content only on the Terms of Use set out in this Agreement, and, where applicable, as expressly authorised by us and/or our third-party licensors. Any reproduction or redistribution of any of our FactoryXChange platform or the Content is expressly prohibited except to the extent permitted by law and may result in civil and criminal penalties.

The linking of third-party websites is not to be seen as an endorsement by us of the website or the content it offers, unless expressly stated otherwise. We do not have any control over the content offered by linked third party websites.

15. Unacceptable Activity and Restriction of Access
You must not in connection with the use of our FactoryXChange Platform perform any act that we would reasonably deem to be inappropriate, unlawful, or offensive, including but not limited to:
​

any act that breaches the privacy or any other legal right of an individual (including but not limited to the uploading of another person’s personal data without their consent);
-
uploading files containing viruses or similar that may cause damage to our property or the property of other individuals; and
-
posting or transmitting to our FactoryXChange Platform, which includes but not limited to material likely to cause annoyance or harm, or which is intimidating, threatening, racist, defamatory, pornographic, or otherwise, or which is or may be detrimental to or in violation of our systems or a third party’s systems or network security.
We retain the right to remove any information published on our FactoryXChange Platform at our sole discretion and without notice. Furthermore, we reserve the right to restrict, terminate, or temporarily suspend your access to our FactoryXChange Platform, any Content, or any feature of our FactoryXChange Platform at any time and without notice, and we will not be responsible to you or any third party for any loss, cost, damage, or liability that may arise as a result.
16. Warranties and Disclaimers
To the maximum extent permitted by law, we make no warranties or representations about our Services or the Content. This includes, but is not limited to, warranties or representations that our Services or the Content is or will be complete, accurate or up to date, that access will be uninterrupted or free from errors or viruses, or that our Services are secure.

17. Liability
We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents, or subcontractors and for fraud or fraudulent misrepresentation. To the maximum extent permitted by law, in no event shall we be liable to you or any third party for any direct, indirect, or consequential loss, damage or expense, regardless of how it occurs or arises, which may be suffered due to your use of our FactoryXChange Platform and/or the information or materials contained on it, or as a result of the inaccessibility of our FactoryXChange Platform and/or the fact that certain information or materials contained on it are incorrect, inaccurate or out of date.

18. Jurisdiction and Governing Law
Your use of the website and these Terms are governed by the laws of the European Union, and you submit to the exclusive authority of the courts exercising jurisdiction in the European Union.

Privacy Policy
This privacy policy describes our policies and procedures on the collection, use and disclosure of your information when you use the FactoryXChange platform and the services on offer via the platform and informs you of your privacy rights and how the law protects you. We use your personal data to provide and improve our offering. By using the FactoryXChange platform and services, you agree to the collection and use of information in accordance with this privacy policy.
Personal Data Protection

1. Which personal data do we process?
When you engage with our website, FactoryXChange platform, or social media channels, we process:

Technical information related to your visit; and

Identity information you provide, such as your first name, last name, company name, and Company Registration Office (CRO) number.
Contact details you provide, such as your e-mail address, LinkedIn, Facebook, and Twitter links, postal address, country, and (mobile) telephone number.

For Digital Strategists, a short biography, profile picture, educational background, and relevant experience can be shared on the FactoryXChange platform;
-
For Service Portfolio Managers, a short biography and profile picture can be shared on the FactoryXChange platform; and
-
Any additional personal data you provide us.
When you communicate with us via e-mail, telephone, or social media channels, we process:

Identity information, such as your first name and last name;

Contact details, such as your e-mail address, postal address, country, and (mobile) telephone number;

Content of the communication, such as a question or complaint;

Technical information of the communication, such as the communication channel and date and time; and

Any additional personal data you provide us.
When you register for and participate in our FactoryXChange events, we process:

Identity information, such as your first name, last name, job title, and company name;

Contact details, such as your e-mail address, postal address, country, and (mobile) telephone number;

Business card details, if you provide us with your business card before, during, or after the event; and

Any additional personal data you provide us.
During our events, photos may be taken. In principle, photos are limited to wide crowd shots. If you pose for our photographer, we will derive your consent from this. Your photo may then be distributed via our website or other channels for the promotion of the Joint Undertaking and/or the event in question. You may rescind your consent at any time, including in the case of photos in which you may appear incidentally, by contacting our Data Protection Officer: info@factoryxchange.ie.When you use our services, we process:

The management of contact points through the European Digital Innovation Hubs (EDIHs) network platform is covered by a specific privacy policy (EDIH Privacy Statement | European Digital Innovation Hubs Network (europa.eu)). Any data transferred to the European Commission is covered by these Terms and Conditions, not those of the FactoryXChange consortium. Our FactoryXChange platform provides links to third-party sites. Since we do not control them, we encourage you to review their privacy policies. Also, each social media channel has its own policy on the way they process your personal data when you access their websites. For example, if you choose to watch one of our videos on YouTube, you will be asked for explicit consent to accept YouTube cookies; if you browse our Twitter activity on Twitter, you will be asked for explicit consent to accept Twitter cookies and the same applies for LinkedIn.
2. Why do we process your personal data and what is the legal basis for this?
The FactoryXChange consortium of partners, coordinated by Irish Manufacturing Research, may process your personal data also known as personal information. Irish Manufacturing Research, the legal representative of the FactoryXChange platform, is committed to user privacy. Although you can browse through most of the pages of our FactoryXChange platform without giving any information about yourself, in some cases, personal information is required to provide the FactoryXChange services you request, such as:

Registration on the FactoryXChange platform;

Booking FactoryXChange services;
-
Registering for participation in FactoryXChange events; and
-
Ensuring you receive the European Union and Enterprise Ireland discount.
The FactoryXChange platform pages that require such information treat it according to the policy described in Regulation (EU) 2018/1725. In this respect:

For each page, the purposes and means of the processing of personal data are specified in this this privacy statement;

within FXC, the Data Protection Officer at the University of Galway (UoG) is the hosting institution for ICHEC) ensures that the provisions of the regulation are applied and advises the FactoryXChange platform data controllers on fulfilling their obligations; and

as for the FactoryXChange consortium of partners, the European Data Protection Supervisor (EDPS) will act as an independent supervisory authority.
This policy is based on the forementioned regulation. It may be modified by the FactoryXChange coordinating partner Irish Manufacturing Research from time to time, on its own initiative or on the advice of external parties. The FactoryXChange platform may provide links to third-party sites, such as the funding agencies, the European Union and Enterprise Ireland, or the EDIH network portal. The purposes and legal bases justifying the processing operations carried out by the FactoryXChange platform vary. Processing operations may be based on:

your consent;

a service level agreement with you, to perform that contract or to take steps prior to concluding a bilateral agreement with you;

a legal obligation we must comply with; and
-
the public interest.
The FactoryXChange privacy statement contains the following information:

the identity and contact details of the controller;
-
the contact details of the data protection officer;
-
what information is collected and for what purpose and the technical means FactoryXChange collects personal information to fulfil a specific purpose, as well as the legal basis;

with whom your information may be shared, if applicable;

how you can access your information, verify its accuracy and, if necessary, correct it, delete it, restrict the processing or, where applicable, object to processing or to data portability;

in specific cases, you will also have the right to withdraw your consent;

how long your data is kept;

what security measures are taken to safeguard your information against possible misuse or unauthorised access; and

whom to contact if you have queries or complaints.
3. Whom do we share your personal data with?
We share your personal data with third parties, such as the European Commission, Enterprise Ireland, and the European Digital Innovation Hub Network Portal. Third parties are allowed to process your personal data on our behalf on our explicit written instruction, only. We ensure that third parties are committed to observing the safety and integrity of your personal data. We may be legally obliged to share your personal data with competent law enforcement agents or representatives, judicial authorities, governmental agencies, or bodies. We do not send your personal data in an identifiable manner to any other third party than the ones mentioned herein without your explicit consent to do so. However, we may send anonymised data to other organisations that may use those data for improving our activities or services.

4. Where do we process your personal data?
Your personal data collected will not be stored or transferred outside the European Economic Area (EEA) in compliance with GDPR.

5. What quality assurances can be expected?

We do our utmost to process only those personal data which are necessary to achieve the purposes listed in Section 2.2.

Your personal data are only processed for as long as needed to achieve the purposes listed under Section 2.2 or until such time you withdraw your consent for processing them. We will delete your personal data when they are no longer necessary for the purposes outlined herein, unless there is:

An overriding interest of any other third party, in keeping your personal data identifiable, or; a legal or regulatory obligation or a judicial or administrative order that prevents us from deleting them.

We will take appropriate technical and organisational measures to keep your personal data safe from unauthorised access or theft as well as accidental loss, tampering, or destruction. Access by our personnel or third parties’ personnel will only be on a need-to-know basis and be subject to strict confidentiality obligations.
6. What are your rights?

You have the right to request access to all personal data processed by us pertaining to you.

You have the right to rectification, i.e. to ask that any personal data pertaining to you that are inaccurate, be corrected.

You have the right to withdraw your consent for processing of your personal data.

You have the right to erasure, i.e. to request that personal data pertaining to you be deleted if these data are no longer required in the light of the purposes outlined herein or if you withdraw your consent for processing them.

You have the right to restriction instead of deletion, i.e. to request that we limit the processing of your personal data.

You have the right to object to the processing of personal data if the processing by us is necessary for the performance of a task carried out in the public interest, unless if we demonstrate compelling legitimate grounds which override your interests, rights, and freedoms or for the establishment, exercise or defence of legal claims.

You have the right to data portability, i.e. to receive from us in a structured, commonly used, and machine-readable format all personal data you have provided to us if the processing is based on your consent or a contract with you and the processing is carried out by automated means.

If you wish to submit a request to exercise one or more of the rights listed above, you can contact us by sending an e-mail to info@factoryxchange.ie referencing “Data Protection” in the subject line. An e-mail requesting to exercise a right will not be construed as consent with the processing of your personal data beyond what is required for handling your request.

In accordance with Article 25 of Regulation (EU) 2018/1725, FactoryXChange may restrict certain data subject rights, as specified in the FactoryXChange internal rules concerning restrictions of certain rights of data subjects in relation to processing of personal data.
FactoryXChange maintains a public register of processing activities in accordance with Article 31(5) of Regulation (EU) 2018/1725. The register includes information on the data sources, data types, and permitted circulation or usage of personal data processed by FactoryXChange. The register includes the following processing activities:

Event registration/attendance: Customer names and organisation names from FactoryXChange platform are shared with relevant partners to perform specific project tasks;
-
Website members’ contact details: Personal data provided by users when registering on the FactoryXChange website;
-
Records of customer bookings: Personal data provided by customers when booking services on the FactoryXChange platform;
-
Sharing data related to FactoryXChange KPIs via the EDIH Network portal: Personal data shared with the European Digital Innovation Hubs (EDIHs) network portal for the purpose of monitoring and reporting on FactoryXChange KPIs;
-
Sharing data with FactoryXChange Digital Maturity Assessments via the EDIH Network portal: Personal data shared with the EDIHs network portal for the purpose of conducting digital maturity assessments;
-
Periodic reporting to the European Commission: Personal data shared with the European Commission for the purpose of reporting on FactoryXChange activities and progress;
-
